REPORTS OF THE PROGRAMMES ORGANISED BY THE HOOGHLY CHAPTER DURING THE MONTHS OF APRIL & MAY, 2016

1ST & 2ND STUDY CIRCLE MEETING OF 2016 HELD ON 10TH APRIL, 2016:

On 10th April, 2016 Chapter organised its 1st & 2nd Study Circle Meetings of 2016 at the Conference Hall of Hooghly Chapter, Rishra (Hooghly). At 1st Study Circle Meeting, the Discussion Leader was CS Prateek Kohli, Practising, Practising Company Secretary, discussed on the “Practical Aspects with reference to New MCA Portal" whereas at the 2nd Study Circle Meeting he spoke on the topic “MCA Filings and Discussion on Condonation and Compounding". There was question-answer sessions and the queries raised by the participants were suitably replied by the Speaker. More than 14 members / students and office bearers / members of the Managing Committee attended the same.

FULL-DAY WORKSHOP HELD ON 8th MAY, 2016:

On 8th May, 2016 Chapter organised a Full-Day Workshop at the Conference Hall of Hooghly Chapter, Rishra (Hooghly). CA CS Sumit Binani (Treasurer, EIRC of ICAI), Corporate Law Consultant, was the Guest Speaker and took the whole Session throughout the day. He addressed the participants on the topic “Changes in The Companies (Amendment) Bill, 2016 with Special Focus on Issue of Securities, Related Party Transaction, Sec.185 & 186, Deposits and Other Amendments Thereon”.  The Session was very informative and well appreciated by the participants. There was question-answer sessions and the queries raised by the participants were suitably replied by the Guest Speaker. More than 38 members / students and office bearers / members of the Managing Committee attended the Workshop.

FULL-DAY WORKSHOP HELD ON 15TH MAY, 2016:

On 8th May, 2016 Chapter organised a Full-Day Workshop at the Conference Hall of Hooghly Chapter, Rishra, At the First Session, Shri Rajiv Ranjan, Ex-President & Chief Executive Officer of Reliance Asset Reconstruction Co. Ltd., was the Guest Speaker. He addressed the participants on the topic “Role of Company Secretaries in Emerging Securitization and Asset Reconstruction”. At the Second Session, CS Mohan Ram Goenka, Practising Company Secretary, was the Guest Speaker. He addressed the participants on the topic “Mergers & Amalgamation”. Both the Speakers were elaborately discussed on their respective topics before the participants. Both the Sessions were very informative and well appreciated by the participants. There was question-answer sessions and the queries raised by the participants were suitably replied by both the Guest Speakers. More than 14 members / students and office bearers / members of the Managing Committee attended the Workshop.

 

TWO-DAY INDUCTION PROGRAMME FOR STUDENTS ON 16TH & 17TH JULY, 2016 AT HOOGHLY CHAPTER

15 DAYS ACADEMIC PROGRAM

15 days Academic Program is applicable to every student who is successfully completing Executive Program (whether already undergoing training or not) of ICSI, on or after 25th August, 2015.    The break- up of 15 days academic program is as under:

i)          2 days = Induction

ii)        3 days = e-Governance

iii)       5 days = Skill Development

iv)       5 days = Entrepreneurship Development

As per the Institute’s guidelines, 2 days Induction is to be completed within 3 months of passing Executive programme or within 2 months of commencement of their 15 months/1 year/2 years training, whichever is earlier. If, any student is already undergoing training on the date of passing the Executive program, in such case 2 months criteria is not applicable to him/her.

Due to insufficient number (minimum 10) of students enrolled, Two-Day Induction Program which was scheduled on 21st May, 2016 & 22nd May, 2016, has been rescheduled on 16th & 17th July, 2016, subject to the condition that at least 10 students have enrolled, as per the criteria laid down by the HQ of the Institute. Revised Schedule of the Two-Day Induction Program is given below:

Participation Fee once paid will neither be reimbursed/refunded or adjusted towards the next Induction Program.

HALF-DAY WORKSHOP HELD ON 7TH FEBRUARY, 2016: 

On 7th February, 2016 Hooghly Chapter organised a Half-Day Workshop at the Conference Hall of Hooghly Chapter, Rishra, Hooghly. As Guest Speakers, CS  S. M. Gupta (Past Chairman, EIRC of ICSI), Practising Company Secretary addressed the gathering on the topic “Appearance & Practical Aspects Relating to National Company Law Tribunal (NCLT)” whereas CS Aditi Dhanuka, Company Secretary, Dhunseri Investments Limited, addressed on the topic “Constitution, Power & Function of National Company Law Tribunal”. The programme was well appreciated by the members, students present. There was question-answer sessions and the queries raised by the participants were suitably replied by both the Guest Speakers. More than 27 members / students and office bearers of the Managing Committee attended the programme.

FULL-DAY WORKSHOP HELD ON 21ST FEBRUARY, 2016

On 21st February, 2016 Chapter organised a Full-Day Workshop at the Conference Hall of Hooghly Chapter, Rishra, At the First Session, CS  Anjan Kumar Roy, (Past Chairman, EIRC of ICSI) Practising Company Secretary, was the Guest Speaker. He addressed the participants on the topic “The Companies Law Committee Report and Proposed Changes in The Companies Act 2013”. At the Second Session, CS  Anil Kumar Dubey, Practising Company Secretary, was the Guest Speaker. He addressed the participants on the topic “Secretarial Audit & Applicability of Other Laws  During the Course of Audit”. Both the Speakers were elaborately discussed on their respective topics before the participants. The Session was very informative and well appreciated by the participants. There was question-answer sessions and the queries raised by the participants were suitably replied by both the Guest Speakers. More than 59 members / students and office bearers / members of the Managing Committee attended the Workshop.

HALF-DAY WORKSHOP HELD ON 28TH FEBRUARY, 2016: 

On 28th February, 2016 Hooghly Chapter organised a Half-Day Workshop at the Conference Hall of Hooghly Chapter, Rishra, Hooghly. CA & CS Amit Ghosh, (Ex. Company Secretary, Balmer Lawrie & Co. Limited), Practising Chartered Accountant, was the Guest Speaker. He addressed the gathering on the topic “Accounting Treatment of Depreciation under The Companies Act, 2013” & “Law & Practice of Micro Finance”.  The programme was well appreciated by the members, students present. There was question-answer sessions and the queries raised by the participants were suitably replied by the Guest Speaker. More than 21 members / students and office bearers of the Managing Committee attended the programme. 

INVESTOR AWARENESS PROGRAMME ON 5TH MARCH, 2016 AT SILIGURI COLLEGE OF COMMERCE (EXTENSION CAMPUS), SILIGURI: 

On 5th March, 2016 Chapter organised an Investor Awareness Programme, under the aegis of Investor Education and Protection Fund, Ministry of Corporate Affairs, in association with  Siliguri College of Commerce (Extension Campus), Siliguri. Dr. Asim Kumar Mukhopadhyay, Principal, Siliguri College of Commerce, was the Chief Guest. CA Gopal Mitruka, Practising Chartered Accountant and Shri Niraj Chowdhury, Franchisee Head / Business Associate, Motilal Oswal Securities Limited, were the Guest Speakers on the occasion. CS Somnath Ganguly, Practising Company Secretary, was chaired the whole Session. Shri Tamal Kar, Executive Officer, Hooghly Chapter of ICSI and Shri Pranab Karmakar, Co-ordinator, Siliguri College of Commerce (Extension Campus) & ICSI Counsellor for Darjeeling District, were jointly co-ordinating the whole programme. 

This programme advised investors including guiding them with respect to (a) How to read a Prospectus highlighting specific areas such as Management of the company, financial capabilities, nature of the product, current scenario and future prospects of the company; (b) how to read a Annual Report of the Company;  (c) Listing of Securities; (d) Opening of Demat Account; (e) Filling  of Application forms; (f) Guidance about Book Building process; (g) access to intermediary like stock brokers, depositary participants; (h) mode of payment; (i) possible course of action in case of non - receipt of communication regarding credit of dematerialized shares/refund order; (j) rights of investors in general; (k) nomination of shares or other securities etc.(k) fraudulent activities prevailing in the market in context of chit funds & Ponzi schemes with recent examples; (l) Investor Grievance Redressal Mechanism – whom to approach for various complaints; (m) Do’s and Don’t for Investors – Company Fixed Deposits; Insurance Policies; Government Schemes; Banking; Collective / Investment Schemes etc. An Interactive question-answer session was held where the speaker suitably replied to the queries raised by the participants. There was huge gathering of more than 135 participants attended the programme. 

HALF-DAY WORKSHOP HELD ON 6TH MARCH, 2016: 

On 6th March, 2016 Hooghly Chapter organised a Half-Day Workshop on “Post Union Budget Meet 2016-2017” at the Conference Hall of Hooghly Chapter, Rishra, Hooghly. CA & CS Vishnu Tulsyan, Practising Chartered Accountant, addressed the gathering on “Direct Tax” whereas CA Abhisek Tibrewal, Practising Chartered Accountant, addressed on “Indirect Tax”. The programme was well appreciated by the members, students present. There was question-answer sessions and the queries raised by the participants were suitably replied by both the Guest Speakers. More than 20 members / students and office bearers of the Managing Committee attended the programme. 

CELEBRATION OF FOUNDATION DAY OF THE CHAPTER &

FULL-DAY WORKSHOP HELD ON 12TH MARCH, 2016: 

Foundation Day of Hooghly Chapter of ICSI was 8th March. To commemorate this auspicious occasion, the Chapter celebrated it Foundation Day and organised a Full-Day Workshop on Saturday, the 12th day of March, 2016 at its own Chapter Premises. At the First Session, CS  Vinod Kothari, (Past Chairman, EIRC of ICSI) Practising Company Secretary, was the Guest Speaker. He addressed the participants on the topic “Related Party Transactions Under The Companies Act 2013”.  At the Second Session, CS Maloy Kumar Gupta, Company Secretary & Compliance Officer, Bata India Limited, was the Guest Speaker. He addressed the participants on the topic “Various Policies and Code of Conduct under The Companies Act, 2013 and SEBI Regulations – An Overview”. Both the Speakers were elaborately discussed on their respective topics before the participants. Both the Sessions were well appreciated by the participants. There was question-answer sessions and the queries raised by the participants were suitably replied by both the Guest Speakers. More than 44 members / students and office bearers / members of the Managing Committee attended the Workshop.

HALF-DAY WORKSHOP & MOCK BOARD MEETING HELD ON 20TH MARCH, 2016: 

On 20th March, 2016 Hooghly Chapter organised a “Half-Day Workshop followed by Mock Board Meeting” at the Conference Hall of Hooghly Chapter, Rishra, Hooghly. CS Rupanjana De (Member, EIRC of ICSI), Practising Company Secretary, addressed the participants on the topic “Role of Independent Director with Special Emphasis on Role of Company Secretary as Independent Director of the Company”. CS Arun Kumar Singhania, Chief Financial Officer, Orient Beverages Limited, addressed on “Preparation for Board Meeting by Company Secretary”; CS Aditi Dhanuka, Company Secretary, Dhunseri Investments Limited, addressed on “Power Exercised by the Board at the Board Meeting”. The whole Mock Board Meeting was conducted and provided Practical Aspects of Board Meeting by CS Prashant Kapoor, Vice-President, Company Secretary & Compliance Officer, India Power Corporation Limited. The programme was well appreciated by the members, students present. There was question-answer sessions and the queries raised by the participants were suitably replied by all the Discussion Leaders. More than 30 members / students and office bearers of the Managing Committee attended the programme.

 

Annual Membership Scheme (AMS) for 2016 (from 1st February, 2016 to 31st January, 2017)

ANNUAL MEMBERSHIP SCHEME (AMS) OF HOOGHLY CHAPTER FOR 2016

Hooghly Chapter of The Institute of Company Secretaries of India has brought to you the Annual Membership Scheme (AMS) for 2016 (from 1st February, 2016 to 31st January, 2017). Hooghly Chapter plans to organize High Value Programmes on current / important topics. The commitment for minimum number of programmes is mentioned herein below, however, it is expected to organize even greater number of programmes, which the members / professionals / students of ICSI of this scheme will be entitled to attend.

The AMS Scheme will be effective from 1st February, 2016 to 31st January, 2017.

Annual Fee (inclusive of Service Tax @ 14.5%):

Rs.5,500/- each for Corporate Members

Rs.3,500/- each for Practising Member/Self-employed / Individuals 

Rs.2,000/- each for Students of ICSI

Mode of Payment:

Payment may be made in cash or by cheque/ DD drawn in favour of “The Institute of Company Secretaries of India – Hooghly Chapter”
